Ameren Missouri Access Agreement with Gas Transport Customer

This Access Agreement is between Union Electric Company d/b/a Ameren Missouri (hereafter “Ameren Missouri”) and the undersigned Customer,

NOW THEREFORE, in consideration of the premises and covenants herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties, intending to be legally bound, hereby agree as follows:

1. Password. Ameren Missouri shall provide Customer, and any authorized agent/supplier of Customer, with a password for the purpose of accessing Customer’s Account(s). Customer shall promptly notify Ameren Missouri in the event Customer revokes its agent/supplier’s authorization to access the Gas Choice Portal. Customer is completely and solely responsible for controlling the dissemination of its password and shall indemnify and hold Ameren Missouri harmless from any claims, demands, liabilities, actions, suits or proceedings as a result of Customer’s actions with respect to the control of its password.

2. Ownership of Gas Choice Portal. Customer agrees that the Gas Choice Portal belongs solely to Ameren Missouri and that Customer will not copy, publish, or distribute any part thereof in either its original form or in any other form or medium.

3. Term. This Agreement shall continue in effect as long as Customer remains a customer under the appropriate Gas Tariffs.

4. Exclusion of Damages. Customer agrees that Ameren Missouri shall not be liable to Customer for any direct, indirect, special, incidental, exemplary, or consequential damages arising from or as a result of Customer accessing, or the inability to access the Gas Choice Portal. Customer acknowledges that there are alternative methods for the same exchange of information and transaction of business as that conducted through accessing the Gas Choice Portal through an EDI.

IN WITNESS WHEREOF, and intended to be legally bound hereby, each of the parties hereto have caused this Agreement to be executed in its name and behalf by its duly authorized representative, to be effective as of the date signed by Customer.
